1. Introduction

This Client Agreement (“Agreement”) outlines the terms under which Nel Gamba (“we”, “us”, “our”) provides coaching and consulting services to you (“Client”, “you”). By booking or participating in any session or program—whether complimentary or paid—you agree to the terms below.

2. Nature of Services

We provide coaching, consulting, and educational support focused on personal development, communication, career growth, and related areas. These services are not therapy, medical treatment, legal advice, or financial advisory services.

3. Types of Services​

We offer four categories of services:​

3.1 Complimentary Online Coaching Session (Free)

• A one‑time introductory session offered at no cost.

• Designed to help you experience our coaching style and clarify your goals.

• No obligation to continue with paid services.

• No deliverables or follow‑up materials are guaranteed.

3.2 Paid Coaching/Consulting Sessions

• Individual sessions or packages purchased by the client.

• May include personalized guidance, action plans, and follow‑up materials depending on the service purchased.

• Fees must be paid before the session unless otherwise agreed in writing.

• Sessions may be rescheduled with at least 24 hours’ notice.

3.3 Free Online Coaching Program

• A self-paced or group-based program offered at no cost.

• Includes general guidance, educational materials, or community participation.

• No personalized coaching or one‑on‑one support is included unless explicitly stated.

• Access may be time-limited and may be modified or discontinued at any time.

3.4 Paid Online Coaching Program

• A structured program that may include modules, group sessions, worksheets, or personalized support.

• Access is granted upon payment and is subject to the program’s stated duration.

• Refunds follow the cancellation policy outlined in Section 7.

4. Coaching Packages

We offer several package options for clients seeking ongoing support. These packages provide structured guidance and may include scheduled sessions, check-ins, and personalized materials.

4.1 Monthly Package

• Includes a set number of coaching or consulting sessions per month (as described at the time of purchase).

• Payment Options:

  • Paid monthly in advance.

  • Auto-renewing unless cancelled before the next billing cycle.

• Sessions must be used within the month and do not roll over.

• No partial refunds for unused sessions.

4.2 Three‑Month Package

• A structured package covering three consecutive months of coaching.

• Includes a defined number of sessions per month or a total session count for the entire period.

• Payment Options:

  • Paid in full at the start of the program, or

  • Paid monthly (three monthly payments), each due before the start of the month.

• Offers a discounted rate compared to the monthly package.

• All sessions must be used within the three‑month period.

• Early cancellation is allowed, but refunds follow these rules:

• Refunds may be issued for unused months only if no sessions were used during that month.

• No refunds for partially used months.

• If paying monthly, cancellation stops future payments but does not refund past payments.

4.3 Six‑Month Package

• A comprehensive package covering six consecutive months of coaching.

• Includes a defined number of sessions per month or a total session count for the entire period.

• Payment Options:

  • Paid in full at the start of the program, or

  • Paid monthly (six monthly payments), each due before the start of the month.

• Offers the highest discount among the package options.

• All sessions must be used within the six‑month period.

• Early cancellation is allowed, with the following rules:

  • Refunds may be issued for unused months only if no sessions were used during that month.

  • No refunds for partially used months.

  • If paying monthly, cancellation stops future payments but does not refund past payments.

• Clients who complete at least four months may request to pause the package once for up to 30 days.

5. Client Responsibilities

You agree to:

• Participate actively and honestly

• Complete any exercises or tasks assigned

• Communicate respectfully

• Attend scheduled sessions on time

• Use the services for personal development, not for harmful or unlawful purposes

 

6. Confidentiality

We respect your privacy and will not disclose your personal information or session content unless:

• You provide written consent

• Disclosure is required by law

• There is a risk of harm to yourself or others

 

7. Payment, Cancellations, and Refunds

7.1 Complimentary Session

• May be rescheduled once with at least 24 hours’ notice

• No refunds apply

7.2 Paid Coaching/Consulting Sessions

• Cancellations made 24 hours before the session may be rescheduled

• Cancellations within 24 hours or no‑shows are non‑refundable

7.3 Free Online Coaching Program

• No refunds apply

• Access may be revoked for inappropriate behavior or misuse

7.4 Paid Online Coaching Program

• Refunds may be available within a limited period after purchase

• No refunds for completed modules or attended sessions

• No refunds for partial participation

7.5 Monthly, 3‑Month, and 6‑Month Packages

• Payments must be made in advance

• Sessions do not roll over

• Refunds follow the rules described in Section 4

• No refunds for partially used months

• Rescheduling requires 24 hours’ notice

 

8. Disclaimer

Coaching and consulting results vary by individual. We do not guarantee specific outcomes, career results, or personal transformations. You are responsible for your own decisions, actions, and results.

 

9. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

• Any indirect, incidental, or consequential damages

• Decisions or actions you take based on coaching or program content

• Technical issues, interruptions, or delays in online services

 

10. Intellectual Property

All materials provided—whether free or paid—remain the property of Nel Gamba. You may not copy, distribute, or share program content without written permission.

 

11. Changes to This Agreement

We may update this Agreement at any time. Continued participation in sessions or programs indicates acceptance of the updated terms.

12. Governing Law

This Agreement is governed by the laws of Japan, without regard to conflict‑of‑law principles.
